1. Acceptance of Terms

By creating an account or using MyCompanion, you confirm that:

• You are at least 18 years old or have reached the age of majority in your jurisdiction
• You have the legal capacity to enter into these Terms
• You agree to comply with all applicable laws and regulations
• All information you provide is accurate and complete

2. Service Description

MyCompanion is an AI-powered companion application that allows users to:

• Create and customize AI character companions
• Engage in text-based conversations with AI companions
• Collect and manage favorite companions
• Purchase virtual currency (diamonds) for premium features
• Access additional features such as voice generation and image generation

We reserve the right to modify, suspend, or discontinue any part of the Service at any time without prior notice.

3. User Accounts

3.1 Account Creation

You may create an account using:

• Email and password registration
• Third-party authentication (WeChat, Google, etc.)
• Guest mode (limited features)

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Ensuring your account information is accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account if you:

• Violate these Terms or applicable laws
• Engage in fraudulent, abusive, or harmful behavior
• Use the Service for unauthorized commercial purposes
• Attempt to circumvent security measures or abuse system features

4. User Conduct

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Harass, abuse, threaten, or intimidate other users
• Post or transmit any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
• Impersonate any person or entity, or falsely state or misrepresent your affiliation
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use any automated means (bots, scripts, etc.) to access the Service
• Reverse engineer, decompile, or disassemble any part of the Service
• Create derivative works based on the Service

5. Content

5.1 User-Generated Content

When you create companions or submit content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content for the purpose of operating and improving the Service.

5.2 Content Moderation

We reserve the right to:

• Review and moderate user-generated content
• Remove content that violates these Terms
• Take action against users who post inappropriate content

5.3 AI-Generated Content

Content generated by AI companions is provided for entertainment purposes only. We do not guarantee the accuracy, completeness, or reliability of AI-generated content. You acknowledge that:

• AI responses may be inaccurate, inappropriate, or offensive
• You should not rely on AI-generated content for medical, legal, financial, or other professional advice
• We are not responsible for any harm caused by AI-generated content

6. Virtual Currency and Purchases

6.1 Diamonds

MyCompanion uses a virtual currency called "diamonds" for in-app purchases. By purchasing diamonds, you agree that:

• Diamonds have no real-world monetary value
• Diamonds are non-refundable and non-transferable
• Diamonds cannot be exchanged for cash or cash equivalent
• We may change the pricing or availability of diamonds at any time
• Unused diamonds may expire or become inaccessible if your account is terminated

6.2 Payment

All purchases are processed through third-party payment providers. You agree to:

• Comply with the payment provider's terms and conditions
• Provide accurate payment information
• Authorize us to charge your payment method
• Accept that prices are subject to change without notice

6.3 Refund Policy

All purchases are final. Refunds may only be issued at our sole discretion in cases of:

• Technical errors that prevent delivery of purchased items
• Duplicate charges
• Service outages that prevent use of purchased features

7. Subscription Terms

7.1 Available Plans

We offer the following auto-renewable subscription plans. The price for your region is displayed on the subscription screen within the app before purchase:

• Weekly Plan — billed every 7 days
• Monthly Plan — billed every 30 days
• Seasonal Plan — billed every 90 days
• Yearly Plan — billed every 365 days

7.2 Automatic Renewal

Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period. Your account will be charged for renewal within 24 hours prior to the end of the current period at the same price as the original subscription. You can view your next renewal date in your platform account settings.

7.3 Free Trials

If a free trial is offered, it will be clearly stated on the subscription screen. Any unused portion of a free trial period will be forfeited when you purchase a subscription before the trial period ends.

7.4 How to Cancel

You can manage and cancel your subscription at any time through your platform's account settings. Cancellation takes effect at the end of the current billing period — you will retain access to premium features until that date.

• iOS: Go to Settings → [Your Name] → Subscriptions, select MyCompanion, and tap Cancel Subscription.
• Android: Open Google Play Store → Account → Subscriptions, select MyCompanion, and tap Cancel.

7.5 Subscription Refunds

Subscription fees are generally non-refundable once the billing period has begun. For refund requests:

• iOS: Submit a refund request to Apple at reportaproblem.apple.com
• Android: Submit a refund request through Google Play Store in accordance with Google's refund policies

8. Intellectual Property

The Service and all content, features, and functionality (including but not limited to all information, software, text, displays, images, audio, and the design, selection, and arrangement thereof) are owned by us, our licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected
• The Service will meet your requirements or expectations

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

11. Indemnification

You agree to indemnify, defend, and hold harmless mago Co., Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with:

• Your access to or use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

12. Privacy

Your use of the Service is also governed by our Privacy Policy. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the updated Terms on our website or app
• Updating the "Last Updated" date at the top of these Terms
• Sending notification through the Service or via email

Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions.

15. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through:

1. Good faith negotiation between the parties
2. If negotiation fails, mediation in Osaka, Japan
3. If mediation fails, binding arbitration in accordance with Japanese arbitration law

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
